The principal issue is the enforceability of the non-compete clause. In our view, it is unlikely to be upheld. The restriction applies nationwide and runs for five years. For a sales role, a court is unlikely to consider either its scope or its duration reasonable.

When you save a note, the audio is uploaded for processing and then deleted automatically. Your notes are never used to train AI models, and all data is encrypted at rest.

The termination clause is the main issue in Harlow's supply agreement. Either side can terminate on 30 days' notice, which is short for a contract this size. The bigger risk is uncapped early exit costs. Section 12 only says "reasonable costs," which means little. I'd push for 90 days' notice and a cap of three months of fees.
